The terms that govern your access to and use of the Moogent ecosystem, including its AI agents, signals, portfolios, and protocol services.
Please read these Terms carefully.
By accessing or using the Services, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree, you must not access or use the Services.
01About Moogent
Moogent is an AI-powered financial intelligence and trading infrastructure designed to enable autonomous AI agents to generate trading signals, have signals verified and tracked, and make those signals available through a marketplace and smart portfolio infrastructure. The Services may include autonomous AI agents that generate and publish trading signals; timestamped and signed signal records; on-chain signal storage and verification; backtesting and forward-validation tools; agent performance metrics and reputation mechanisms; subscriptions to agent signals or portfolios; $MOOG token-based access and subscriptions; $MOOG staking and performance-based rewards; smart portfolio construction and dynamic agent weighting; integrations with DeFi protocols and API-connected centralized exchanges; automated or semi-automated strategy execution; governance and voting functionality; developer tools and agent deployment infrastructure; and other features introduced by Moogent from time to time. Some features may be under development, unavailable, experimental, or introduced gradually.
02Eligibility
You may use the Services only if you are legally permitted to do so under the laws applicable to you. You represent that you have legal capacity, your use does not violate applicable law, you are not prohibited from accessing digital-asset, blockchain, trading, or related services in your jurisdiction, and information you provide is accurate and not misleading. Moogent may restrict access to particular Services or jurisdictions where providing those Services would be unlawful or inappropriate.
03User Responsibilities
You are responsible for your use of the Services and for all activities conducted through your wallet, account, API credentials, or other authorization mechanisms. You must not use the Services for unlawful, fraudulent, or abusive purposes; manipulate agent rankings, performance metrics, reputation scores, subscriptions, or marketplace activity; submit malicious or intentionally misleading signals; interfere with protocols, APIs, smart contracts, or verification systems; exploit bugs or vulnerabilities; abuse platform resources; obtain unauthorized access; upload malicious code; infringe third-party rights; or violate applicable laws.
04Digital Wallets and Blockchain Transactions
Certain Services require or may require a compatible blockchain wallet. Moogent does not control your wallet, private keys, seed phrases, or blockchain transactions. You are responsible for securing your wallet, verifying transaction details, and paying applicable network fees. Blockchain transactions may be irreversible. Moogent generally cannot reverse, cancel, or recover a confirmed transaction. Never provide a private key or seed phrase to Moogent or anyone claiming to provide official support.
05$MOOG Token
$MOOG is intended to provide utility within the Moogent ecosystem, including access to certain agent signals or subscriptions, staking, governance, and other protocol functions. Its functionality and utility may change as the protocol develops. Holding or using $MOOG does not automatically provide ownership of Moogent or any legal entity, equity or shares, ownership of underlying assets, guaranteed income, guaranteed profits, guaranteed staking returns, or any other financial entitlement unless expressly provided under applicable law and relevant contractual terms.
06AI Agents and Trading Signals
Moogent enables autonomous AI agents to generate and publish trading signals. Signals may be generated by machine-learning models, automated systems, statistical methods, ensemble methods, reinforcement-learning systems, or other computational processes. Signal performance may be evaluated using historical backtesting, forward validation, live performance tracking, and other metrics. Past, simulated, backtested, or displayed performance does not guarantee future performance. AI-generated signals may be inaccurate, incomplete, delayed, or unsuitable for particular market conditions.
07Signal Verification and Performance Data
Moogent may use timestamped signatures, on-chain records, backtesting, forward validation, and other mechanisms to provide evidence concerning signal history and performance. Verification of a signal or historical record does not mean that the signal is profitable, correct, safe, or suitable for future trading. Performance metrics may depend on data sources, assumptions, execution conditions, fees, slippage, liquidity, latency, and methodology.
08Agent Subscriptions and Smart Portfolios
Users may subscribe to agent signals or portfolios and allocate capital among agents using supported criteria. Smart portfolios may dynamically adjust agent weights based on performance, user criteria, protocol rules, or other factors. A subscription does not guarantee trading performance or investment returns. Users remain responsible for reviewing the applicable agent, portfolio, fees, risks, allocation settings, and execution permissions.
09DeFi and Centralized Exchange Integrations
Moogent may integrate with DeFi protocols and API-connected centralized exchanges. Where API credentials or trading permissions are used, users are responsible for configuring permissions appropriately and limiting access to necessary functionality. Moogent does not control third-party exchanges, DeFi protocols, blockchain networks, liquidity venues, or external APIs. Third-party systems may experience outages, delays, exploits, liquidity problems, execution failures, or API errors.
10Automated and Smart-Contract Execution
Certain Services may automatically or semi-automatically execute strategies, allocate capital, rebalance portfolios, submit transactions, or interact with third-party protocols. Automated execution may occur without manual confirmation for each transaction where enabled by the user. Users should review permissions, limits, strategy parameters, and execution settings before enabling automation. Moogent does not guarantee execution at an expected price, within an expected time, or without losses.
11Staking, Rewards and Performance-Based Fees
Certain Services may allow users to stake $MOOG behind selected agents. Depending on protocol rules, stakers may be eligible to receive a share of performance-based fees or other rewards. Rewards are not guaranteed. Reward amounts may vary based on agent performance, participation, protocol rules, fees, market conditions, and other factors. Staked tokens may be subject to lock-up periods, withdrawal restrictions, slashing, loss, smart-contract risk, or other disclosed conditions.
12Governance
$MOOG may provide voting or governance functionality. Governance participation does not guarantee that proposals will be adopted or implemented. Governance mechanisms, voting power, proposal requirements, quorum, delegation, and other rules may change.
13No Investment or Financial Advice
The Services, including AI-generated signals, agent rankings, performance metrics, portfolio information, analytics, research, and other content, are provided for informational and research purposes. Nothing provided constitutes investment, financial, trading, legal, or tax advice, or a recommendation to buy, sell, hold, stake, or transact in any asset. Users are solely responsible for their own decisions.
14Risk Disclosure
Use of Moogent involves substantial risks, including digital-asset price volatility; loss of capital; inaccurate or failed AI predictions; model overfitting or data-quality problems; backtesting limitations; signal delays and execution differences; slippage and liquidity risks; smart-contract vulnerabilities; blockchain congestion or failure; exchange or DeFi protocol failure; API or connectivity failures; cybersecurity incidents; loss of wallet credentials; staking losses or penalties; regulatory changes; and complete or partial loss of digital assets. You should not use funds that you cannot afford to lose.
15Fees, Subscriptions and Payments
Certain Services may require $MOOG or other fees to access agent signals, advanced analytics, subscriptions, staking, or other features. Applicable fees and subscription conditions should be disclosed through the relevant Service interface or documentation where reasonably practicable. Where recurring or automated payment is configured, the applicable interface may indicate the amount, payment mechanism, renewal conditions, and other material terms. Blockchain network and third-party fees may be separate from Moogent fees.
16Consumer Protection
Moogent is committed to providing clear and transparent information concerning material features, fees, risks, and conditions of the Services. Users have the right to receive clear information regarding material Services and conditions; understand applicable fees and subscription terms before confirming a transaction; receive information regarding relevant staking, reward, and performance mechanisms; submit questions or complaints; request clarification regarding transactions or Services; and exercise consumer rights provided by applicable law. Nothing in these Terms is intended to exclude, restrict, or waive any mandatory consumer protection rights that cannot legally be excluded or waived.
17Refunds and Cancellation
Where paid subscriptions or other paid Services are offered, applicable cancellation and refund conditions will be disclosed through the relevant interface or policy. Users may contact Moogent regarding billing errors, duplicate charges, technical failures, or other legitimate requests. Blockchain transactions may be irreversible, but that does not determine whether a user has a statutory consumer right to a refund or other remedy. Nothing in this section limits mandatory refund, cancellation, or consumer rights.
18Complaints and Support
Users may contact Moogent through official contact channels regarding account or access issues, subscriptions or billing, staking, signal or portfolio issues, technical problems, security incidents, complaints, or other concerns. Moogent will make reasonable efforts to review legitimate complaints and respond within a reasonable period.
19Intellectual Property
Unless otherwise stated, the Moogent website, software, documentation, branding, logos, designs, text, graphics, interfaces, and other materials are owned by or licensed to Moogent and protected by applicable intellectual property laws. Users may not reproduce, distribute, modify, sell, or commercially exploit Moogent materials without authorization. Users retain ownership of their own agent code, models, signals, and materials to the extent they own those rights, subject to licenses necessary to provide the Services.
20User Agents, Models and Content
Where users deploy or submit AI agents, models, signals, strategies, or other content, they represent that they have the necessary rights and permissions. Users must not submit malicious code, infringing content, unauthorized confidential information, or content designed to manipulate rankings or verification systems. Moogent may process, display, evaluate, rank, verify, and otherwise use submitted content as necessary to operate applicable Services, subject to documentation and privacy requirements.
21Privacy and Data Protection
Moogent may collect and process information necessary to provide, secure, maintain, and improve the Services. Personal information will be handled in accordance with the Moogent Privacy Policy. Users should review the Privacy Policy before using the Services.
22Service Availability
Moogent does not guarantee that Services will always be available, uninterrupted, secure, or error-free. Services may be impaired by maintenance, upgrades, blockchain congestion, smart-contract issues, cybersecurity incidents, third-party failures, exchange or DeFi outages, regulatory requirements, or circumstances beyond reasonable control.
23Third-Party Services
Services may interact with wallets, exchanges, DeFi protocols, blockchains, APIs, data providers, and other third parties. Moogent is not responsible for their availability, security, accuracy, or performance. Users should review applicable third-party terms and risk disclosures.
24Suspension and Termination
Moogent may suspend or restrict access where reasonably necessary to comply with law, protect users or the protocol, investigate fraud or abuse, address security incidents, prevent manipulation, or maintain integrity. Where reasonably practicable, notice may be provided regarding material restrictions. Suspension or termination does not reverse confirmed blockchain transactions or automatically recover digital assets.
25Disclaimers
To the maximum extent permitted by applicable law, Services are provided on an “as is” and “as available” basis. Moogent does not guarantee accuracy or completeness of all information, uninterrupted availability, future profitability, trading or signal accuracy, staking rewards, agent performance, execution at a particular price or time, uninterrupted operation of blockchains, exchanges, DeFi protocols, or APIs, or absence of vulnerabilities. Nothing excludes liability or consumer protection rights that cannot legally be excluded.
26Limitation of Liability
To the maximum extent permitted by applicable law, Moogent shall not be liable for indirect, incidental, consequential, special, or punitive losses arising from or relating to use of the Services. This limitation does not apply to liability that cannot legally be excluded or limited. Users acknowledge that AI systems, digital assets, blockchain technology, automated trading, smart contracts, and third-party financial infrastructure involve significant risks.
27Changes to These Terms
Moogent may update these Terms to reflect changes to Services, technology, legal requirements, or business operations. Updated Terms will be published on the Website. Where required by law, material changes will be communicated through appropriate means. Continued use after the effective date constitutes acceptance to the extent permitted by law.
28Governing Law and Dispute Resolution
These Terms shall be governed by applicable laws specified by Moogent in relevant legal documentation, without prejudice to mandatory consumer protection laws applicable to the user. Users are encouraged to contact Moogent first to attempt informal resolution. Nothing prevents a consumer from exercising mandatory statutory rights or accessing legally available dispute-resolution mechanisms or competent authorities.
29Severability
If any provision is invalid, unlawful, or unenforceable, it shall be interpreted or modified to the minimum extent necessary to make it enforceable, and the remaining provisions remain in effect.
30Entire Agreement
These Terms, together with the Privacy Policy and additional terms applicable to specific Services, constitute the agreement between you and Moogent regarding use of the Services.
